Partner agreement

What it is

The DOCK2BILL partner program, operated by EX EME LTDA, São Paulo, SP, Brazil, pays dispatchers and other independent businesses a commission on the subscriptions of the carriers they refer. By opening a partner account you accept this agreement, in addition to the DOCK2BILL terms of service.

Referral and attribution

A carrier is recorded to you when it creates a DOCK2BILL account within 90 days of opening your referral link. If it opened links from more than one partner, the first one counts. Once recorded, the carrier stays yours for as long as it pays for DOCK2BILL, even if it later works with another dispatcher.

Commission

  • Partner: 20% of what we actually receive from the carrier's subscription. Partner Pro: 25%.
  • "What we actually receive" means the amount paid, less sales tax and the payment processor's fee, as reported by our reseller Paddle.
  • Commission is earned only on payments that have cleared. There is no sign-up or activation bonus.
  • A refund or chargeback takes back the commission on the payment it reverses, in the month it happens, and never more than that payment earned. A reversed chargeback gives it back.

Statement

Your partner account shows a monthly statement of every commission, reversal, fee and payout. Entries are never edited; a mistake is corrected with a new entry.

Partner Pro

  • Partner Pro costs $149.00 per month while you have up to 15 authorized carriers, and $299.00 per month above 15. The first 20 Partner Pro accounts pay $99.00 per month for as long as they stay on Pro.
  • The monthly fee is charged on the first day of each month for the month before, and comes out of your commission first. If your commission does not cover it, the difference is a balance you owe, payable by card through Paddle; new commission pays it down before anything is paid out to you.
  • If a balance you owe is still open at the next monthly closing, Pro is paused: your brand stops appearing to your carriers and your rate returns to 20%. The balance remains due. Pro resumes when it is paid.
  • With a carrier's authorization, your business name appears on the reports and documents DOCK2BILL prepares for that carrier. Without it, nothing carries your name.

Payouts and taxes

Before the first payout we need a completed tax form: W-9 in the United States, W-8BEN elsewhere. Payouts are made monthly, by a method we agree with you, within 30 days after the end of the month, once your balance is at least $50.00; smaller balances roll over. You are responsible for your own taxes on what you earn. We withhold tax only where the law requires it.

How you promote DOCK2BILL

  • No unsolicited texts or bulk email to carriers. US law fines per message, and one complaint can shut texting down for every DOCK2BILL customer.
  • Do not promise anything the product does not do.
  • Tell the carriers you refer that you earn a commission.
  • Do not bid on the DOCK2BILL name, or anything confusingly similar, in paid search, and do not present yourself as DOCK2BILL.

Breaking these rules lets us withhold the commission earned through the breach and end this agreement immediately.

Access to carrier data

You see a carrier's DOCK2BILL data only while that carrier authorizes it, and only for the purpose of working for that carrier. The carrier can withdraw the authorization at any time, and your access ends at once. You keep what you see confidential.

Relationship, changes and ending

You are an independent business, not our employee, agent or representative, and you cannot make any commitment in our name.

The commission is paid by us, out of the carrier's DOCK2BILL subscription, for referring a carrier to software. It is not a fee for arranging transportation, and it is never taken from a load or from freight money.

You run your own business and you are responsible for the licenses, registrations and laws that apply to it, including any that govern dispatch services and where they may be based. You will tell us the truth about where your business has its principal place of business, and tell us if that changes.

We may change the program, including rates and fees, with 30 days' notice by email; changes never reduce commission already earned. Either party may end this agreement at any time. When it ends, commission already earned on cleared payments is still paid, less any balance you owe, and no new commission accrues. The governing law and disputes section of the terms of service applies to this agreement.
