Terms of service

Last updated October 2026

These terms cover DOCK2BILL, operated by EX EME LTDA, São Paulo, SP, Brazil. Using it means you agree to what is below.

What you are buying

A subscription to DOCK2BILL, billed monthly or annually.

There is no trial period and no card up front. You use the product for free until the first load bills clean — every document that load required is in and legible and the billing packet has been produced. From that point the account needs a plan to keep going, and everything already in the account stays.

What DOCK2BILL is not

DOCK2BILL is billing software. It checks a load’s paperwork and prepares and sends your own invoices.

  • Not a broker, a dispatcher or a factor. We do not arrange, offer or sell transportation, find or book loads, or negotiate rates or terms with brokers or shippers. We do not buy or advance your receivables.
  • Not your agent. Nothing we do binds you. Packets, invoices, notices and follow-ups go out in your name because you set them up and told the product to send them. We carry the message; we do not decide it.
  • We never touch the freight money. Your customer pays you, or the factoring company you chose. We are paid only the subscription.
  • No promise that a claim is paid. Detention and TONU are worked out from your terms and stop times, with the proof attached. Whether the broker pays is between you and the broker.

Your content is yours

Everything you put in — your loads, your customers, your drivers, your documents — remains yours. We hold it to run the product for you. You can export it at any time and take it with you.

We do not use your content to train AI models.

Aggregated data in DOCK2BILL

DOCK2BILL sees how freight paperwork gets billed and paid: which documents a broker or shipper actually asks for, how often a packet is rejected and why, how many days payment takes, and how much of the detention and TONU billed ends up paid. We may combine that information across many accounts into aggregated, de-identified statistics, use them to improve the product — a checklist of what a broker requires, for example — and share them with others.

  • They never identify you. No statistic names your business, your drivers or your contacts. A figure about a broker or shipper is shown only when it rests on enough records from enough different carriers that no single carrier can be singled out.
  • Freight rates are never disclosed. The rate of a load — yours or anyone else’s, one load or an average — is never shown to another customer, published or shared.
  • Brokers and shippers can be named. They are identified by their public FMCSA registration (MC or DOT number), and statistics about how they pay may carry that name.

What you are responsible for

  • What goes out under your name. Billing packets, detention invoices, notices and follow-ups to your customers, and texts to your drivers, are sent as your business, with the details you entered. What they say is on you.
  • Consent for text messages. If you add a driver’s mobile number to DOCK2BILL, you are stating that the driver agreed to hear from you about their loads. This is a legal requirement in the US and it is yours, not ours. See the SMS terms.
  • Your rates and your terms. Detention and TONU are worked out from the terms and stop times on file. The product does not verify that those terms match your agreement with the broker.

Claims from how you use it

You will defend and indemnify EX EME LTDA against any third-party claim, fine or penalty arising from: messages sent to your drivers or customers through DOCK2BILL without the consent the law requires; the content you upload or send; or your breach of these terms. We will tell you promptly about any such claim, let you control its defense, and cooperate at your cost.

What the AI does and does not do

Parts of the product read a photo or a document and propose a reading. That is a proposal, not a decision:

  • A delivery document that is unreadable, belongs to another load or cannot be matched to one is flagged for you, and does not count toward the packet until you settle it.
  • A rate confirmation fills in only the terms that are empty on the load. A value that looks wrong, or was read without confidence, is not applied — it waits for you.

We do not promise the reading is always right. We promise it never quietly guesses — and that is the part the product is built around.

Acceptable use

You may not use DOCK2BILL to:

  • Send messages to people who did not agree to hear from you.
  • Send anything unlawful, deceptive, or harassing.
  • Attempt to reach another customer’s data.
  • Resell the product as your own without a written agreement with us.

We can suspend an account that does any of these. If it involves messaging abuse, we will act immediately, because a single account can get an entire messaging campaign shut down for everyone.

Payment

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders: it processes the payment, issues the invoice, handles sales tax and responds to billing questions and returns.

  • Subscriptions renew automatically until you cancel.
  • Cancelling stops the next renewal.
  • Within 30 days of a payment we refund that payment in full, and your access ends the same day. After 30 days there is no refund: your plan runs to the end of the period you already paid for and does not renew. See the refund policy.
  • If a payment fails, we retry and email you before anything is suspended.
  • Prices can change with 30 days’ notice, and never mid-term on a plan you already paid.

Availability

We aim to keep the product running and we do not promise perfection. When a provider we depend on has an outage, messages queue and go out when it recovers — they are not lost.

Ending it

You can close your account whenever you want, from inside the product. We can end an account with 30 days’ notice, or immediately for the abuse listed above. Either way, you can export your data first.

No warranty

DOCK2BILL IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY THE LAW THAT APPLIES, WE MAKE NO WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT.

In particular, we do not warrant that: the product will be uninterrupted or error-free; any document reading, calculation or suggestion will be correct; a broker, shipper or any other party will accept or pay any packet, invoice or claim you send; or that the terms, rates and stop times you enter match your agreements with others. You decide what to send and to whom, and you review it before it goes out.

What we do promise is described in these terms, and nothing in this section takes it back: your content stays yours, we do not train AI models on it, and the product does not quietly guess — a reading it is not confident about is flagged for you instead of being applied.

Liability

DOCK2BILL is an inexpensive tool for small carriers. Our total liability to you for anything arising from it is limited to what you paid us in the twelve months before the claim. We are not liable for lost profits or lost business.

Nothing here limits liability that cannot be limited under the law that applies to you.

Governing law and disputes

These terms, and any dispute about them or about DOCK2BILL, are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-law rules. The courts of the city of São Paulo, State of São Paulo, Brazil, have exclusive jurisdiction, and you and we consent to it. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The rest

If you join the DOCK2BILL partner program, the partner agreement applies as well. If we change these terms in a way that matters, we email you before it takes effect.
